Terms of Service

Welcome to Verbo. By accessing or using our website, mobile applications, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").

These Terms apply to all users, including visitors, registered users, and paying subscribers. If you use Verbo on behalf of an organization, you agree to these Terms on behalf of that organization.

If you do not agree to these Terms, you may not access or use the Service.

You must be at least 13 years old to use Verbo. If you are under 18, you must have permission from a parent or guardian.

By using Verbo, you represent and warrant that:

• You meet the age requirements
• You have the authority to enter into these Terms
• You are not prohibited by law from using the Service

To access certain features, you must create an account. When you create an account, you agree to:

• Provide accurate, complete, and current information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Be responsible for all activity on your account

You may not share your account with others. We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

Verbo offers both free and paid subscription plans. Paid plans are billed on a recurring basis (monthly or annually) unless you cancel.

Subscription Plans:

• Free: 5 minutes of voice chat per week, unlimited text chat with daily limits
• Pro ($15/month): 70 minutes voice/week, unlimited text, advanced features
• Max ($35/month): 700 minutes voice/week, priority support, early access

Billing Terms:

• Subscriptions auto-renew unless canceled before the renewal date
• Prices are in USD and may change with 30 days notice
• Payments are processed securely via Stripe
• You are responsible for all applicable taxes
• Failed payments may result in service suspension

We may offer free trials for paid plans. Free trials are:

• Limited to one per user (per email address)
• Automatically converted to paid subscription unless canceled
• Subject to these Terms and our discretion to revoke

We reserve the right to modify or terminate free trial offers at any time without notice.

You can cancel your subscription at any time through your account settings or by contacting support. Upon cancellation:

• You retain access until the end of your current billing period
• You will not be charged for future periods
• Your data is retained according to our Privacy Policy

"User Content" includes all text, voice recordings, and data you create or upload to Verbo, including your conversations with Luna.

Your Rights:

• You retain all ownership rights to your User Content
• You can export or delete your content at any time

License to Verbo:

You grant Verbo a limited, non-exclusive license to use your User Content solely to:

• Provide and improve the Service
• Personalize your learning experience
• Train our AI models (only in anonymized, aggregated form)

We will never use your identifiable conversations for marketing or share them with third parties without your consent.

You agree NOT to use Verbo to:

• Violate any laws or regulations
• Harass, abuse, or harm others
• Upload malicious code or viruses
• Attempt to breach our security or reverse-engineer the Service
• Share accounts or resell access to the Service
• Use bots or automated systems (except via official API)
• Attempt to generate inappropriate or harmful content
• Scrape or collect data from other users

The Service and its original content, features, and functionality are owned by Dawn Web and are protected by international copyright, trademark, and other intellectual property laws.

Our Trademarks:

• "Verbo" name and logo
• "Luna" AI coach character and personality
• Website design, interface, and learning methodology

You may not use our trademarks, logos, or branding without prior written permission. You may not copy, modify, distribute, or create derivative works from the Service.

Luna's responses and feedback are generated by artificial intelligence. While we strive for accuracy:

• AI may occasionally provide incorrect or incomplete information
• Luna is a learning tool, not a certified language teacher
• We don't guarantee specific learning outcomes or fluency levels

You acknowledge that AI-generated content is provided "as is" and should be used as a supplementary learning resource.

Some jurisdictions don't allow certain limitations, so these may not apply to you.

You agree to indemnify, defend, and hold harmless Verbo, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

We may suspend or terminate your account at any time, with or without notice, if:

• You violate these Terms
• Your account is inactive for an extended period
• We suspect fraudulent or abusive activity
• Required by law

Upon termination:

• Your access to the Service will be immediately revoked
• You will not be entitled to refunds for unused subscription time
• Your data will be handled according to our Privacy Policy

You may terminate your account at any time through account settings.

We may update these Terms from time to time. When we make significant changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify you via email
• Display a prominent notice on our website

Continued use of the Service after changes constitutes acceptance of the new Terms. If you don't agree to the changes, you must stop using the Service.

These Terms shall be governed by and construed in accordance with the laws of Brazil, without regard to its conflict of law provisions.

For users outside Brazil, you agree that any disputes will be governed by Brazilian law, while respecting mandatory consumer protection laws in your jurisdiction.

If you have a dispute with Verbo, please contact us first at support@learnverbo.app to seek an informal resolution.

If we cannot resolve the dispute informally, you agree to resolve disputes through binding arbitration or small claims court, rather than through class action lawsuits.
